Abstract

The successful reform of registered capital requirements in China?

- An analysis of the aims and effects of recent reforms

Registered capital requirements imposed on companies have been significantly relaxed with the 2005 and 2013 reforms of the Company Law. Companies are being granted increasing liberty to formulate corporate charters consistent with their own needs. The deregulation aims to make the corporate form more attractive and to promote economic development without weakening governmental control of companies. Furthermore, the reforms aim to create a new mechanism for the realization of creditor protection. Unfortunately, these goals have only been partly achieved.
